ZF Commercial Vehicle Control Systems India (formerly WABCO India) conducted its 11th Postal Ballot via remote e-voting from February 19 to March 20, 2026. The single resolution sought shareholder approval for material related party transactions with ZF CV Systems Global GmbH (a related party) up to Rs. 2,500 crore for FY 2026-27 (April 2026 to March 2027), covering purchase/sale of goods, services, reimbursements, and incidental transactions. A total of 364 members participated in voting, and the resolution was overwhelmingly approved with 99.71% of valid votes (58,14,007 shares by 342 members) in favour and only 0.29% (16,723 shares by 22 members) against. No invalid votes were recorded, and as required by SEBI's Listing Regulations, no related parties including the promoter exercised their vote on this resolution. The Managing Director declared the resolution passed on March 20, 2026.
Shareholders have approved continued business transactions with the German parent group ZF CV Systems Global GmbH up to Rs. 2,500 crore for the next financial year, providing operational clarity for FY27. The near-unanimous approval suggests strong shareholder confidence in the arrangement, and since this is a routine approval for a subsidiary's dealings with its parent, it is unlikely to cause significant stock price movement.
