The board of ZF Commercial Vehicle Control Systems India Limited (formerly WABCO India) approved audited financial results for Q4 and FY2024-25 on May 15, 2025, with an unmodified (clean) auditor opinion from B S R & Co. LLP. Standalone revenue from operations grew marginally to Rs. 3,804.09 crore (FY24: Rs. 3,783.71 crore), while profit after tax rose about 13.3% to Rs. 458.66 crore from Rs. 404.78 crore. Q4 standalone revenue grew roughly 5% to Rs. 1,003.19 crore, with Q4 PAT jumping about 24% to Rs. 125.19 crore; full-year EPS came in at Rs. 241.81 versus Rs. 213.41. Consolidated FY25 revenue stood at Rs. 3,830.96 crore with PAT of Rs. 460.73 crore (up ~13.4%). The board recommended a final dividend of Rs. 19 per equity share (380% on face value of Rs. 5), subject to shareholder approval, with the 21st AGM on August 20, 2025 and record date of August 8, 2025.
Healthy double-digit profit growth and a robust Rs. 19/share dividend are positive for shareholders, though top-line growth remains modest. Director changes (re-appointment of Mr. Mahesh Chhabria, addition of Dr. Lars Orlik, and proposed appointment of Mr. Paramjit Singh Chadha as Managing Director) suggest continuity in governance with a focus on the aftermarket and commercial vehicle business.
