Zuari Industries' board, at its meeting on 13 February 2026, approved unaudited standalone and consolidated financial results for Q3 and nine months ended 31 December 2025, with the statutory auditor V. Sankar Aiyar & Co. issuing an unmodified limited review opinion. On a standalone basis, the company reported a Q3 net loss of ₹500.52 lakhs on total income of ₹25,471.61 lakhs, while on a consolidated basis it posted a Q3 net loss of ₹2,642.51 lakhs (EPS of ₹-8.69) but remained in profit for the nine-month period at ₹13,739.21 lakhs, largely driven by share of profits from associates like Zuari Agro Chemicals. Exceptional items included impairment of investments in furniture subsidiaries IFPL and FFPIL, and a one-time charge relating to India's new Labour Codes. The board also accepted the resignation of CFO Nishant Dalal effective 27 February 2026 and appointed Jatin Jain, a Chartered Accountant with 14+ years of experience (already with the company since 2016), as the new CFO from 28 February 2026. A revised list of four KMPs authorised to determine materiality of disclosures was also notified.
For shareholders, the consolidated nine-month profit recovery is encouraging but was largely supported by one-off gains from associates in Q2 (₹817.49 cr exceptional gain on MCFL-PPL amalgamation), while core operations continue to post losses at both standalone and consolidated levels. The furniture impairments, new Labour Code impact, and fair-value loss on Paradeep Phosphates shares are near-term drags. The smooth internal transition to a new CFO brings continuity, and the results are likely to be sentiment-neutral.
