Adani Ports' board approved audited consolidated financial results for Q4 and FY25, with revenue from operations rising to Rs 30,475.33 crore (FY25) from Rs 26,710.56 crore (FY24). Net profit jumped to Rs 11,061.26 crore from Rs 8,103.99 crore, and EPS climbed to Rs 51.35 from Rs 37.55. Statutory auditor MSKA & Associates issued an unmodified (clean) opinion. The board appointed Mr. Amrendra Kumar Sinha as the new Internal Auditor, replacing Mr. Abhiram Budhkar as part of a routine rotation policy, and Mr. Ashwin Shah as Secretarial Auditor for a five-year term. The board also recommended a dividend of Rs 7 per share (350%) for FY25, with the 26th AGM scheduled for June 24, 2025 and record date set as June 13, 2025.
Strong earnings growth (net profit up ~36% YoY) and a healthy dividend are positive for shareholders. The auditor changes are routine — statutory auditor remains unchanged with a clean opinion, and the internal auditor change is explicitly due to a rotation policy, not a mid-term resignation, so no governance red flag.
