Adani Ports' Finance Committee, at a meeting held on July 16, 2025, approved a cash tender offer to buy back up to US$ 450 million worth of its outstanding US dollar-denominated senior notes. The offer covers three bond series: up to US$ 200 million of the US$ 500 million 4.00% notes due July 2027, up to US$ 125 million of the US$ 750 million 4.20% notes due August 2027, and up to US$ 125 million of the US$ 750 million 4.375% notes due July 2029. The committee also approved the tender offer memorandum and a dealer manager agreement with third-party dealer managers who are unrelated to the promoter group. The transaction is not a related party deal, and the company has no shareholding in the dealer manager entities.
This is a proactive liability management exercise, where Adani Ports is using cash to retire part of its US dollar bond stack maturing in 2027 and 2029.
