Adani Ports submitted the scrutinizer's report and voting results of its EGM held on May 15, 2025 via video conferencing, where two resolutions were put to shareholders. Resolution 1 (Ordinary) approved the acquisition of Abbot Point Port Holdings Pte. Ltd. from Carmichael Rail and Port Singapore Holdings Pte. Ltd. as a material related party transaction, and was passed with 86.07% of votes in favour (49.58 crore shares) versus 13.93% against (8.02 crore shares). Resolution 2 (Special) approved the issuance of 14,38,20,153 equity shares on a preferential basis for non-cash consideration, and was also passed with 86.07% in favour (49.58 crore shares) against 13.93% against (8.02 crore shares). The promoter group, being an interested party in both resolutions, did not vote. Total shareholder participation stood at about 26.67% of outstanding shares (around 5.76 crore shares polled) on a base of 12,63,234 shareholders.
Both resolutions are cleared, paving the way for Adani Ports to complete the Abbot Point port acquisition in Australia and issue ~14.38 crore new equity shares (dilution of roughly 6.6% on existing share count) to fund the deal. Existing public shareholders will see a modest equity dilution, while the deal expands the company's international port footprint.
