Akme Fintrade's Board has allotted 7.5 crore fully convertible warrants at Rs. 7 per warrant, raising Rs. 13.125 crore as 25% upfront payment. The remaining 75% (Rs. 5.25 per warrant) is payable upon conversion, which must occur within 18 months. Warrants convert into one equity share of Rs. 1 face value each. 6 crore warrants (80%) went to non-promoter entities including Infront Enterprises (2.5 crore), Stellant Securities (1 crore), and others. 1.6 crore warrants went to promoter entities/persons including Akme Build Estate (1.5 crore) and Nirmal Kumar Jain (10 lakh). No change in paid-up equity capital has occurred yet as warrants are pending conversion.
Warrant conversion will cause share capital dilution in future (up to 7.5 crore new shares). The Rs. 13.125 crore raised provides growth capital. Since conversion hasn't happened, current EPS and equity are unaffected, but investors should be aware of potential dilution headroom.
