Akme Fintrade's board has approved issuing up to 12.25 crore convertible warrants at Rs. 7 each, potentially raising up to Rs. 85.75 crore via preferential allotment to 15 investors. Each warrant is convertible into one equity share within 18 months, with 25% payable upfront and 75% at the time of conversion. The issue is at the floor price fixed under SEBI ICDR Regulations. Two promoter-related entities (Nirmal Kumar Jain and Akme Build Estate) will subscribe to 2.5 crore warrants, while the remaining 9.75 crore warrants are allotted to non-promoter investors including several financial advisory and securities firms. An EGM is scheduled for 20th March 2026 to seek shareholder approval.
If all warrants are fully converted, the share count will rise sharply, leading to significant dilution for existing shareholders — promoter Nirmal Kumar Jain's stake is set to drop from 26.74% to 22.62% on a fully diluted basis. However, promoter participation signals some insider confidence in the company's growth, and the Rs. 85.75 crore infusion (if fully subscribed and converted) can strengthen the company's capital base.
