Anupam Finserv's Board of Directors, at its meeting on December 26, 2025, approved the issuance of Secured, Unlisted, Unrated, Redeemable, Fully Paid Non-Convertible Debentures (NCDs) of up to Rs. 10 Crores on a private placement basis, to be issued in one or more tranches. The first tranche size is Rs. 3 Crores, with a face value of Rs. 1,00,000 per NCD. The NCDs carry a fixed coupon of 12% per annum, payable quarterly, and have a tenure of 24 months from the date of allotment. Redemption is structured as 30% at 13 months, 30% at 19 months, and the remaining 40% at the end of tenure. The NCDs are secured by a first and exclusive charge over the company's receivables, and in case of delay/default in interest or principal payment beyond due date, an additional 2% penalty coupon applies.
The company is raising up to Rs. 10 Crores in debt at a relatively high 12% coupon rate, which may indicate either smaller-scale borrowing or higher cost of debt given the unlisted and unrated nature. Shareholders should note this will dilute nothing but adds to interest obligations, with receivables pledged as security, which may limit financial flexibility.
