AU Small Finance Bank held its 30th AGM on August 8, 2025 via video conferencing, attended by 78 members and 13 directors and key managerial personnel. The biggest highlight was the Chairman's announcement that the Bank received RBI in-principle approval on August 7, 2025 to transition from a Small Finance Bank to a Universal Bank, described as a historic milestone. The MD & CEO reflected on the Bank's 30-year journey, stable FY25 performance, technology-driven growth, and introduced a new core value called 'Collaborate' as the Bank's eighth Dharma. Eight resolutions were tabled, including adoption of FY25 audited financials, declaration of a ₹1.00 per share dividend, re-appointment of Deputy CEO Uttam Tibrewal, approval to issue non-convertible debt securities and to raise funds through equity or QIP, appointment of a new Secretarial Auditor, and induction of two new Independent Directors. The Bank also hosted its second carbon-neutral AGM. E-voting results are to be submitted to the exchanges by August 12, 2025.
The RBI in-principle approval to become a Universal Bank is a major positive catalyst, unlocking broader lending powers, lower-cost funding, and potentially a valuation re-rating. The proposed equity/debt raising resolutions signal the Bank is preparing to shore up capital ahead of its expansion as a Universal Bank, which could lead to dilution but also stronger growth capacity.
