Autoline Industries Limited has disclosed the results of a postal ballot (remote e-voting) held from March 25 to April 23, 2026. Shareholders voted on a single Special Resolution to approve the revision in remuneration of Mr. Sudhir Vithal Mungase, Whole Time Director. Out of 45,37,54,01 total shares, 26,07,706 votes were cast (5.75% turnout). The resolution passed overwhelmingly with 99.39% in favour (25,91,893 votes) and only 0.61% against (15,813 votes). The Scrutinizer, CS Sujit Manazhy, confirmed the resolution was passed with the requisite majority as per Section 110 of the Companies Act, 2013. Notably, the Promoter & Promoter Group held 14,79,25,888 shares but recorded zero votes, and the company disclosed that promoters were indeed interested in the agenda, explaining their non-participation.
The resolution passed comfortably with near-unanimous support among voting shareholders. The promoter group's deliberate abstention (due to related party interest) did not affect the outcome, indicating institutional and public shareholders independently approved the Whole Time Director's revised remuneration.
