AVG Logistics has informed the exchanges that six warrant holders failed to convert their warrants into equity shares within the 18-month period allowed after allotment. In total, 545,000 warrants lapsed, including a large 300,000-warrant holding by Asha Gupta and 100,000 each from Reality Vinimay and Sumash Vinimay. As a result, the upfront subscription money paid by these holders at the time of allotment will be forfeited, and the forfeiture will be tabled at the next Board Meeting per SEBI ICDR rules. This means the company gets to retain the warrant application money as income, but the expected equity dilution from these warrants will no longer happen.
Small positive for existing shareholders — there is no equity dilution from these 545,000 warrants, and the company retains the subscription amounts already paid. The financial impact is modest given the size of the forfeited amount relative to the company's overall share base.
