Bajaj Auto Limited has informed the Exchange about Acquisition - update regarding issue of Notice of Call Exercise in respect of 26,000 shares of Pierer Bajaj AG by Bajaj Auto International Holdings BV, a wholly owned subsidiary of Bajaj Auto Ltd.

Bajaj Auto's wholly owned Dutch subsidiary, BAIH, has issued a Notice of Call Exercise to Pierer Industrie AG (PIAG) to buy 26,000 shares in their joint venture Pierer Bajaj AG (PBAG) for Euro 26.34 million (about Rs. 257 crore). BAIH currently holds 49.9% in PBAG, and after this purchase its stake will rise to 75.9%, making PBAG a subsidiary of BAIH and effectively of Bajaj Auto. The deal is still subject to regulatory approvals. This follows an earlier announcement on 23 May 2025 about the Call Option Agreement covering 50,000 shares (50% stake) of PBAG, of which 26,000 shares are now being exercised as the first tranche.
This strengthens Bajaj Auto's control over its international two-wheeler JV with the Pierer Group (parent of KTM), giving it majority ownership and likely better strategic and financial control. The Rs. 257 crore outflow is modest relative to Bajaj Auto's cash reserves, and consolidation of PBAG's financials may have a positive impact on consolidated earnings going forward.
