Bajaj Auto has informed the exchanges that KTM AG, its step-down subsidiary, has fully pre-paid all outstanding dues under a Euro 450 million secured term loan facility that was originally extended by Bajaj Auto International Holdings BV (BAIH BV), a wholly owned subsidiary, to support KTM's restructuring. The full prepayment has led to the termination of the Facility Agreement on 5 March 2026, ahead of its original schedule. The loan was originally executed on 21 May 2025. With this termination, Bajaj Auto's exposure to KTM AG through this facility stands fully unwound, and BAIH BV will receive back the entire loan amount previously disbursed.
This is a positive development for shareholders — it removes lending risk associated with the KTM restructuring and brings back capital to Bajaj Auto's group without any reported loss. It signals improving financial health at KTM AG, which is beneficial for Bajaj Auto's overall investment in the brand, and removes uncertainty around the Euro 450 million exposure.
