Bajaj Auto has issued a revised intimation regarding its sixth grant of stock options under the Employee Stock Option Scheme 2019 (BAL-ESOS 2019). The Compensation Committee, which met on 29 May 2025, has granted 3,80,048 stock options to eligible employees, each convertible into one equity share of Rs. 10 face value. The revised exercise price stands at Rs. 8,849 per option, which is the closing market price on 28 May 2025. The options will vest over a period of not less than 1 year and up to 10 years from the grant date, and once vested, employees have 5 years to exercise them. The revision appears to update the exercise price from the original intimation of 29 May 2025.
The grant represents a small potential dilution of about 0.13% (3.8 lakh shares versus roughly 28-29 crore total shares). The revised exercise price simply reflects the market price on the grant date, so there is no favorable discount to employees, meaning minimal value transfer from existing shareholders.
