Bajaj Finance Limited has allotted 289,200 Secured Redeemable Non-Convertible Debentures (NCDs) through private placement. The issue is split into two tranches: Option I with 107,000 NCDs worth Rs. 1,070.42 crore at 7.77% coupon rate maturing April 2029, and Option II with 182,200 NCDs worth Rs. 1,822 crore at 8.00% coupon rate maturing May 2031. Both tranches carry a face value of Rs. 1 lakh per NCD and will be listed on the BSE Wholesale Debt Market segment. The debentures are secured by a first pari-passu charge on the company's book debts and loan receivables with a security cover of at least 1.0x the outstanding value.
This is a debt fundraising exercise through wholesale investors. The Rs. 2,892 crore NCD issuance provides capital for Bajaj Finance's lending operations. Given the private placement nature and wholesale debt market listing, this does not directly impact retail equity shareholders but strengthens the company's funding base.
