Bandhan Bank has announced the results of its postal ballot conducted via remote e-voting from January 31, 2026 to March 1, 2026, with all six resolutions approved by shareholders. The two special resolutions related to increasing the ESOP pool and amending the 'Bandhan Bank Employee Stock Option Plan Series 1' passed with 99.08% and 99.12% votes in favour, respectively. Four ordinary resolutions covering the re-appointment of Mr. Ratan Kumar Kesh as Executive Director & COO and remuneration of the MD & CEO, Executive Director & CBO, and Mr. Kesh also passed with between 98.10% and 99.44% votes in favour. Total shareholding of 161.10 crore equity shares was considered, and the promoter Bandhan Financial Holdings' voting rights were capped at the statutory 26% limit, with excess 21.06 crore shares treated as invalid votes under the Banking Regulation Act.
