DCB Bank held its 30th AGM on August 6, 2025, through video conferencing, chaired by Mr. Farokh N. Subedar. All 10 resolutions were passed with the required majority. Key items included adoption of FY25 audited financial statements, declaration of a dividend of Rs. 1.35 per equity share, and re-appointment of Mr. Nasser Munjee as a director. Shareholders also approved raising funds via bonds/debentures on a private placement basis, issuing equity shares through a Qualified Institutions Placement (QIP), and increasing the bank's borrowing powers up to Rs. 12,000 crore. Approvals were also granted for auditor-related matters and honorarium for the non-executive chairman. Total shareholders on the cut-off date were 2,10,908, and voting turnout was about 44.8% of outstanding shares, with promoters and institutional investors showing very strong support.
Shareholders have cleared the way for a Rs. 1.35 per share dividend and authorised the bank to raise additional capital through bonds and QIP, which could lead to share dilution in the future. The increase in borrowing limits to Rs. 12,000 crore signals continued growth plans. All resolutions passed with overwhelming support (above 96%), reflecting strong shareholder confidence in the management's direction.
