DhanSafal Finserve reported Q1 FY26 (ended June 30, 2025) results with total revenue of Rs. 237.45 lakhs, up about 78% year-on-year from Rs. 133.28 lakhs. However, profit after tax fell sharply to Rs. 14.93 lakhs versus Rs. 61.39 lakhs in the same quarter last year, mainly due to higher employee and other expenses. EPS stood at Rs. 0.01. During the quarter, 2.72 crore convertible warrants were converted into equity shares, raising share capital by Rs. 272 lakhs and securities premium by Rs. 900.32 lakhs. The board also accepted the resignation of statutory auditor RSRV & Associates (citing pre-occupation in other assignments) and appointed ARCK & Co. as the new statutory auditor to fill the casual vacancy. Additionally, retired RBI Chief General Manager Raghunath Narasimhachar Patel was appointed as a Non-Executive Independent Director for a five-year term. The company's registered office is being shifted within Mumbai, and the 44th AGM is scheduled for September 25, 2025.
The auditor change appears routine and is unlikely to affect shareholders, as RSRV confirmed there are no material concerns behind their exit. The mixed Q1 results—strong revenue growth but shrinking profits—may draw investor attention, though the warrant conversion strengthens the company's equity base. Adding an ex-RBI senior official as an independent director brings valuable regulatory and banking expertise to the board.
