G R Infraprojects' board, meeting on September 26, 2025, approved two transactions. First, the company will acquire 100% of Rajgarh Neemuch Power Transmission Limited, a recently incorporated (June 17, 2025) special purpose vehicle of REC Power Development and Consultancy Limited, as a condition of winning a tariff-based competitive bidding project for transmitting power from 2,500 MW of renewable energy projects in Madhya Pradesh (Rajgarh and Neemuch SEZs). Second, the board approved divesting 100% of its stake in GR Bahadurganj Araria Highway Private Limited (GBAHPL) to Indus Infra Trust (formerly Bharat Highways InvIT), a related party, along with assignment of the unsecured loan given to GBAHPL. GBAHPL contributed only Rs. 23,848.15 Lakhs (3.14%) to consolidated income and Rs. 3,840.69 Lakhs (0.45%) to consolidated net worth in FY25, and is not a material subsidiary. The deal is currently a non-binding offer, with completion expected by November 30, 2025.
