Gabriel India has received the certified copy of the NCLT Mumbai Bench order dated May 11, 2026, sanctioning a composite scheme involving two steps: (1) amalgamation of Anchemco India Private Limited into Asia Investments Private Limited, and (2) demerger of the Automotive Undertaking of Asia Investments into Gabriel India. The appointed dates are April 1, 2025 for amalgamation and April 1, 2026 for demerger. Under the demerger, shareholders of Asia Investments will receive 1158 equity shares of Rs. 1 each in Gabriel India for every 1000 shares held. The scheme aims to transform Gabriel India from a mono-product suspension company into a diversified mobility solutions provider, consolidating automotive components including drive train products, brake fluids, coolants, and adhesives. BSE and NSE had earlier granted no adverse observation letters. The company will now file the order with the Registrar of Companies to make the scheme effective.
The demerger will significantly expand Gabriel India's business scope beyond ride control products into automotive components, potentially boosting EPS and market position. Shareholders of Asia Investments will receive new shares in Gabriel India at the ratio of 1158:1000.
