HDFC Bank held its 31st Annual General Meeting on August 8, 2025 via video conferencing, chaired by Part-time Chairman Mr. Atanu Chakraborty. All 8 resolutions were passed with overwhelming shareholder support, including adoption of standalone and consolidated financial statements for FY2024-25, declaration of dividend on equity shares, and re-appointment of directors Mr. Kaizad Bharucha and Mrs. Renu Karnad. The Chairman and MD & CEO addressed shareholder queries on AI adoption, cybersecurity, credit growth, post-merger synergies with HDFC, ESG ratings, and CSR initiatives. Notably, shareholders also approved the issuance of Long-Term Bonds, Perpetual Debt Instruments (AT1) and Tier II capital bonds via private placement as a Special Resolution. Of 35.85 lakh eligible shareholders, 9,540 cast valid votes, with all resolutions getting more than 98.8% approval, including the dividend resolution at 99.996% in favour.
All AGM resolutions sailed through comfortably with near-unanimous support, confirming strong shareholder confidence. The approval to raise capital through long-term bonds and additional Tier 1/Tier 2 instruments gives the bank flexibility to fund growth and meet regulatory capital requirements. No negative signals from voting outcomes.
