HDFC Bank has announced the results of its postal ballot concluded on August 21, 2025, in which shareholders approved two ordinary resolutions. The first resolution increases the bank's authorised share capital along with a corresponding change to the Capital Clause of the Memorandum of Association. The second resolution approves the issuance of bonus shares to shareholders. Both resolutions passed with strong shareholder support — over 94% of votes cast were in favour (94.16% for the capital increase and 94.37% for the bonus issue). Out of 35.95 lakh eligible shareholders, 19,071 members representing about 524.69 crore equity shares participated in the e-voting process conducted via NSDL. The Scrutinizer, Mr. B. Narasimhan of BN & Associates, confirmed that both resolutions were passed with the requisite majority.
The bonus share approval is positive for existing shareholders as they will receive additional shares, though it does not change the underlying value of their holding. Investors should watch for the record date and bonus ratio announcement, which will determine the actual dilution-adjusted impact on share price.
