HDFC Bank submitted the scrutinizer's report and voting results for its postal ballot concluded on March 13, 2026. Shareholders approved all five resolutions with overwhelming majority. These include material related party transactions with HDB Financial Services (99.64% in favour), HDFC Securities (99.98%), HDFC Life Insurance (99.63%), and HDFC ERGO General Insurance (99.63%). The fifth resolution, re-appointment of Mr. Kaizad Bharucha as Deputy Managing Director with RBI-approved remuneration, was also passed with 97.85% votes in favour. Out of 37,82,416 total shareholders, 13,093 participated in the e-voting, representing about 67.7% of total equity shares (around 1,446 crore shares). Related parties were barred from voting on the four related party transaction resolutions as per SEBI norms.
All routine governance items cleared comfortably with very high shareholder support, which is positive for management continuity and ongoing related-party dealings within the HDFC group. No material impact on stock price expected as the resolutions are largely procedural in nature.
