Indian Bank received only one valid nomination for the Shareholder Director post (from shareholders other than the Central Government), submitted by Shri Bhupinder Singh Bhalla (61, B.Com Hons, ICWA, PGDM from IIM Bangalore). The Nomination and Remuneration Committee cleared him as 'Fit & Proper' under the RBI's 2025 Governance Directions. Because there was only one nomination for one vacancy, he has been deemed elected under Regulation 58 of the Indian Bank (Shares and Meetings) Regulations, 1999, and will assume office from 31.12.2025 until 08.03.2027. Consequently, Agenda Item No. 1 of the 09.01.2026 EGM and its associated e-voting have been cancelled, though the EGM will still proceed for the remaining agenda item(s).
This is a routine board update with no material impact on the stock. The deemed election fills a board vacancy smoothly without a contest, and the EGM still proceeds for other business, so there is no disruption to governance or shareholder action.
