Indian Bank has filed the minutes of its 19th AGM where seven agenda items were approved, including adoption of FY25 audited accounts and declaration of a dividend of Rs 16.25 per share (162.5% of paid-up capital). Shareholders also approved the appointments of MD & CEO Binod Kumar and two part-time non-official directors, the appointment of M/s Shanmugam Rajendran & Associates LLP as Secretarial Auditor for five years, and a special resolution to raise up to Rs 5,000 crore in equity capital through QIP, FPO, Rights Issue, or a combination thereof, while keeping government holding at a minimum 52%. The Chairman highlighted a record-high net profit of Rs 10,918 crore (up 35% YoY), net NPA at a record low of 0.19%, ROE of 20.76%, and capital adequacy ratio of 17.94% for FY25. All agenda items passed with strong shareholder approval, with the capital raise resolution receiving 99.93% votes in favor.
The robust dividend of Rs 16.25 per share rewards shareholders, while the Rs 5,000 crore equity raise could lead to dilution but will fund future business growth; the strong FY25 performance and improving asset quality should support positive investor sentiment.
