IndoStar Capital Finance held its 16th AGM on September 25, 2025 via video conferencing, and all 6 resolutions were passed with overwhelming shareholder approval (over 99.99% in favor in each case). The resolutions covered: (1) adoption of audited standalone financial statements for FY25, (2) adoption of audited consolidated financial statements for FY25, (3) re-appointment of Mr. Devdutt Marathe as a director retiring by rotation, (4) issue of non-convertible debentures under private placement (passed as a special resolution), (5) appointment and remuneration of the secretarial auditor, and (6) appointment of Mr. Vishal Goenka as a Non-Executive Non-Independent Director. About 73.26% of total shares (100,154,371 out of 136,708,249) participated in voting, with the promoter group (99,745,221 shares) voting entirely in favor of every resolution. The highest dissent was on Mr. Goenka's appointment, where 3,477 votes were cast against (0.0035%). Ms. Alifya Sapatwala of Mehta & Mehta served as the scrutinizer.
All routine and governance items cleared without any meaningful opposition, confirming strong shareholder support. The passing of the NCD private placement resolution gives the company flexibility to raise debt capital going forward, and Mr. Vishal Goenka's board appointment takes immediate effect. No material stock price reaction is expected as outcomes are largely procedural.
