Jio Financial Services held its second post-listing AGM on August 28, 2025, via video conferencing, from 2:00 PM to 3:21 PM, chaired by K.V. Kamath with MD & CEO Hitesh Sethia in attendance. Five resolutions were put to vote, and all were passed with the requisite majority. These included adoption of audited standalone and consolidated financial statements for FY25, declaration of a dividend of Rs. 0.50 per equity share (face value Rs. 10), reappointment of Isha M. Ambani as a director retiring by rotation, appointment of S.N. Ananthasubramanian & Co. as secretarial auditor for five years, and issuance of warrants on a preferential basis to promoter group members. E-voting was open from August 23 to 27, 2025, with Khushit Jain of Dayal and Lohia appointed as scrutiniser. Detailed voting results will be filed separately with the exchanges.
All resolutions were passed, so there are no surprises for shareholders. The modest 5% dividend (Rs 0.50 on Rs 10 face value) and the preferential warrant issue to the promoter group are the notable items — the latter could lead to promoter equity increase and modest dilution, with specific details awaited in the voting results.
