JK Tyre & Industries Limited has issued a notice for meetings of its equity shareholders and unsecured creditors, to be held on September 3, 2025, as directed by the NCLT Jaipur Bench. The purpose is to seek approval for the Scheme of Amalgamation of Cavendish Industries Limited (Transferor) with JK Tyre & Industries Limited (Transferee) under Sections 230-232 of the Companies Act, 2013. Both companies are in the tyre business, and the merger is expected to deliver economies of scale, operational synergies, lower interest costs, and improved shareholder value. A share exchange ratio has been recommended by PwC Business Consulting Services LLP, with a fairness opinion from ICICI Securities Limited, and both BSE and NSE have already issued their observation letters on the scheme. If approved by shareholders, creditors, and ultimately the NCLT, the merger will consolidate both tyre businesses into the listed JK Tyre entity, which may enhance operational efficiency and earnings over time. In the short term, the share exchange ratio (once finalised and approved) will determine any dilution or change in shareholding for existing JK Tyre shareholders.
