Karur Vysya Bank will hold its 106th AGM on August 21, 2025 at 11:00 AM via video conferencing, with the Integrated Annual Report for FY25 already dispatched to shareholders on July 30, 2025. The board is recommending a dividend of Rs 2.60 per equity share (130% on face value of Rs 2), with August 7, 2025 set as the record date. A key highlight is a proposed 1:5 bonus share issue (one bonus share for every five held) with August 26, 2025 as the bonus record date. Shareholders will also vote on a new ESOP scheme covering up to 3 crore stock options, an increase in authorized share capital from Rs 200 crore to Rs 250 crore, re-appointment of director R Ramkumar, and re-appointment of joint statutory auditors (Kalyaniwalla & Mistry LLP and Varma & Varma) at Rs 1.30 crore. Chairperson Dr Meena Hemchandra's remuneration of Rs 30 lakh per annum for her second three-year term is also up for approval.
The 1:5 bonus issue and healthy Rs 2.60 dividend signal strong FY25 performance and shareholder rewards, which is positive for retail investors. However, the bonus will expand the share count by 20%, which usually leads to a proportional price adjustment on the ex-date. The new ESOP and higher authorized capital position the bank for future fundraising and talent retention.
