Kellton Tech Solutions has allotted 11,26,580 equity shares of face value ₹5 each at an issue price of ₹106 per share (including a premium of ₹101 per share) pursuant to the partial conversion of its Foreign Currency Convertible Bonds (FCCBs). This was approved by the Security Issuance Committee on July 4, 2025. As a result, the company's paid-up equity share capital has risen from ₹48.76 crore to ₹49.32 crore, with total issued shares increasing from 9.75 crore to 9.86 crore. The newly allotted shares are identical to existing equity shares and will rank pari passu from the date of allotment. In-principle approval from BSE and NSE for this issuance was received on February 20, 2025.
This is a partial conversion of FCCBs leading to a modest ~1.16% increase in total share count. Existing shareholders will see minor dilution, but since it is a debt-to-equity conversion (no fresh cash inflow), the impact on stock price is likely limited. The conversion also reduces the company's foreign currency debt burden.
