Kotak Mahindra Bank's Board has approved the acquisition of loan portfolio and non-treasury investments from its wholly-owned subsidiary, Kotak Mahindra Investments Limited (KMIL). The aggregate outstanding amount stands at Rs. 10,639 crore as of March 31, 2026, to be transferred in one or more tranches. This transaction follows the earlier decision to conduct KMIL's business activities departmentally within the Bank from April 1, 2026, as per RBI Directions on Commercial Banks undertaking Financial Services. The deal is structured as a related party transaction on arm's length basis with no promoter interest. Completion is expected in Q2 FY 2026-27, and no regulatory approvals are required.
This internal restructuring streamlines the Kotak Mahindra Group by consolidating KMIL's lending operations into the parent bank, potentially improving operational efficiency and reducing inter-company transactions. The transaction size of over Rs 10,600 crore represents a significant portfolio transfer.
