Lactose India Ltd reported an inter-se transfer of 5,75,184 shares (4.57% of paid-up capital) on 17th December 2025 from Madhusha Lifecare Private Limited to SST Private Family Trust at Rs. 61 per share. The transfer is exempt from open offer requirements under Regulation 10(1)(a) of SEBI SAST Regulations as it is between entities within the promoter group. Post-transfer, SST Private Family Trust's stake rose sharply from 1.96% to 10.53%, while Madhusha Lifecare's holding dropped to zero. The aggregate promoter group holding remains unchanged before and after the deal. The company also clarified a clerical error: shares were meant to be credited to the Settlor's demat account but were transferred to the Trustee's account, though both belong to the same Trust.
