MAS Financial Services Limited has invested Rs. 35 lakh in its subsidiary MASFin Insurance Broking Private Limited by subscribing to equity shares on a rights issue basis. The infusion raises MAS Financial's stake in the subsidiary marginally from 69% (3,45,000 shares) to 69.50% (6,95,000 shares), with shares having a face value of Rs. 10 each. The subsidiary is in the process of obtaining an IRDAI insurance broking license and needs this capital to meet minimum capital requirements under IRDAI (Insurance Brokers) Regulations, 2018. MASFin Insurance has not started operations yet, reporting zero turnover over the last three years and a net loss of about Rs. 23.6 lakh as of March 2025. The Audit Committee and Board approved this related party transaction on July 23, 2025, and shares were allotted on August 29, 2025.
This is a small, routine capital infusion into a subsidiary with negligible change in ownership. It is a regulatory requirement to support the subsidiary's insurance broking license application and is unlikely to have any material impact on the consolidated financials or the stock price.
