Moneyboxx Finance informed the exchanges that 37,37,745 convertible warrants allotted to 14 allottees (3 promoter/promoter-group and 11 non-promoter) on a preferential basis on September 13, 2024 at Rs. 302.20 per warrant were not converted into equity shares by the March 12, 2026 deadline. As a result, the 25% upfront subscription money already received — amounting to roughly Rs. 28.24 crore — stands forfeited to the company under SEBI ICDR Regulation 169(3). No new shares will be issued from this tranche, so the potential equity dilution of about 37.4 lakh shares does not materialise.
Existing shareholders avoid the dilution they had been expecting, which is mildly positive for per-share metrics. However, the forfeiture of the ~Rs. 28 crore upfront amount and the fact that promoters also did not convert may be read by the market as a sign of weak confidence in the stock at current price levels.
