Ram Gopal Jindal, along with PAC Gaurav Jindal, acquired 1,80,785 equity shares (3.04% of paid-up capital) of NDA Securities Limited from existing promoter-group member Sanjay Agarwal via an off-market share purchase agreement dated February 1, 2024. The transaction was completed on May 23, 2025. Before the deal, the Acquirer + PAC held 29,73,529 shares (49.99%); after the deal, their combined holding rose to 31,54,314 shares (53.03%), crossing the 50% threshold. The Acquirer's individual stake increased from 39.73% to 42.77%, while the PAC's stake remained unchanged at 10.26%. Following the open offer completion, the Acquirer and PAC are now classified as members of the promoter and promoter group.
The promoter group's combined holding has crossed the 50% mark, which may strengthen control over company decisions but could also reduce public float. This is an inter-promoter-group transfer with no change in total promoter ownership beyond internal reshuffling, so the broader shareholder base is largely unaffected. The creeping acquisition near the takeover threshold may trigger further SEBI disclosure requirements going forward.
