NDA Securities has issued a corrigendum to the 2nd EGM notice dated February 18, 2026, ahead of the EGM scheduled for March 16, 2026. The revision was made after BSE raised observations on the original proposal, which involved allotting shares to group companies (Titanium Holdings India Ltd and BIR Foods & Restaurants Pvt Ltd). BSE noted this would amount to a change in control, so the company replaced those allottees with existing promoter/promoter group persons and non-promoter entities. The company now proposes to issue up to 1.70 crore equity shares at Rs. 37 per share (including a Rs. 27 premium), aggregating up to Rs. 62.90 crore, within the previously approved Rs. 64.05 crore size. The allottees include promoters Ram Gopal Jindal (59 lakh shares) and Gaurav Jindal (50 lakh shares), plus four non-promoter entities. Proceeds will be used mainly for investing Rs. 50 crore in subsidiary NDA Capital Advisors, Rs. 6 crore for working capital, and Rs. 6.90 crore for general corporate purposes. There is no change in control or management of the company.
For existing shareholders, the preferential issue will dilute their stake, with public shareholding dropping from about 41% to 37% and promoter holding rising from 58.82% to 62.75%. The fundraising is dilutive in the short term but supports growth plans at the subsidiary level. Shareholders should review the revised allottees and price, and vote on the special resolution at the March 16, 2026 EGM.
