NDR Auto Components' board approved a 50:50 joint venture with Japan's Hayashi Telempu to manufacture auto components such as ambient lights, carpets, dash inners, rear shades, and tonneau covers in India, with up to Rs. 1 crore earmarked for pre-incorporation expenses. The company also posted FY25 revenue of Rs. 712.78 crore (up 18.5% YoY) and standalone profit after tax of Rs. 45.08 crore (up 36.7% YoY), with EPS of Rs. 18.95 versus Rs. 13.87 last year. The board recommended a final dividend of Rs. 2.75 per share (27.5%), with record date July 3, 2025; S.R. Batliboi & Co. LLP was appointed as new statutory auditor for five years. Three independent directors were reappointed for a second five-year term, the ESOP 2024 plan was amended, and the auditor flagged an ongoing income tax dispute with Rs. 502.20 lakh in demands under appeal. Consolidated profit after tax rose to Rs. 53.26 crore (vs Rs. 38.71 crore), aided by Rs. 9.40 crore share of profits from associates.
The Hayashi Telempu JV opens a new product line (interior trims and lighting) and brings in Japanese technology, which could support future revenue growth but near-term capex and execution risk apply. The healthy dividend, double-digit profit growth, and debt-free balance sheet with Rs. 50.8 crore in cash are positives for shareholders.
