Piramal Finance's board approved a scheme to merge three of its wholly-owned subsidiaries — Piramal Corporate Tower Private Limited, Piramal Agastya Offices Private Limited, and DHFL Investments Limited — into itself to simplify the group structure and strengthen the balance sheet. Since all three are wholly-owned by Piramal Finance, no new shares will be issued and there will be no change in the company's shareholding pattern; the merger still needs NCLT, IRDA, and shareholder/creditor approvals. Separately, the board cleared raising up to Rs. 15,000 crore through redeemable non-convertible debentures (NCDs) on a private placement basis in one or more tranches between April 2026 and March 2027, to be listed on BSE and/or NSE. Independent Director Mr. Gautam Bhailal Doshi also resigned for personal reasons, effective end of business on March 27, 2026.
The amalgamation is a housekeeping restructuring with no dilution for shareholders, while the Rs. 15,000 crore NCD borrowing plan signals aggressive fund-raising for growth in lending. The exit of an independent director is a minor governance event but not material to operations.
