Poonawalla Fincorp Limited has received approval from its Finance Committee to issue Unsecured, Redeemable, Rated, Listed, Subordinated Non-Convertible Debentures (NCDs) constituting Tier II Capital. The issue size is up to ₹250 crore with a base issue of ₹150 crore and a green shoe option of ₹100 crore. A total of 25,000 NCDs will be issued at a face value of ₹1,00,000 each under the series PFL NCD Series 'SDA1' FY2026-27. The NCDs will be listed on BSE Limited and issued through private placement to eligible investors. The company has committed to paying a 2% penalty over the applicable coupon rate for any delay in payment of interest or principal.
This is a Tier II capital raise that will strengthen the company's capital adequacy. For existing shareholders, this issuance increases debt obligations but may support business growth. The NCDs are subordinated, meaning debenture holders rank below other creditors in repayment priority.
