Poonawalla Fincorp has allotted 1,00,500 secured, redeemable, rated, listed non-convertible debentures through private placement, raising a total of ₹1,005 crore (base issue of ₹750 crore plus a green shoe option of ₹255 crore). Each debenture has a face value of ₹1,00,000, carries a coupon of 7.5285% per annum, and has a tenure of 2 years and 71 days, maturing on September 24, 2027. The NCDs are secured by a first-ranking pari-passu charge on the company's hypothecated properties and will be listed on the BSE debt market segment. This is part of the company's regular borrowing programme (Series D1 FY2025-26) and follows the earlier intimation dated July 10, 2025.
The ₹1,005 crore raise will boost the company's borrowing capacity to support its lending business, with no equity dilution since these are pure debt instruments. The 7.5285% coupon reflects prevailing market rates for a well-rated NBFC and is neutral to mildly positive for shareholders as it supports growth funding without stressing the balance sheet.
