PVV Infra's board meeting on May 14, 2026 approved a Rs 170 crore authorised share capital (up from Rs 120 crore) and a preferential issue of up to 6.65 crore convertible equity share warrants at Rs 7.50 each, raising approx Rs 49.87 crore. The warrants, to be converted within 18 months, are mostly being allotted to promoter Pinnamaneni Estates (1.39 crore warrants) and 27 other public allottees. Mrs Deepika Sharma was appointed as Independent Director for 5 years while two independent directors (Mrs Sabbana Nagamani and Mr Hebbagilumane Nagaraj) resigned citing personal reasons. The board also approved an EGM for shareholder approvals and granted power of attorney to MD Shubh Gangully for NHAI way side amenities bidding across 8 sites in AP, MP and UP.
The preferential warrant issuance will dilute existing shareholders but provides capital for infrastructure projects including NHAI way side amenities. The large number of new allottees (28 total) signals significant fresh capital infusion which could support business expansion despite short-term dilution.
