Rose Merc Ltd has signed a non-binding term sheet to acquire 23.08% of ZCLUS India Limited's post-issued share capital by subscribing to 3,000 equity shares at Rs. 60,000 per share, for a total cash consideration of Rs. 18 crore. ZCLUS is an ISO and HIPAA-certified IT services company specialising in ERP (SAP), digital transformation, RPA, and talent acquisition, and is a subsidiary of USA-based Zest Consulting LLC. ZCLUS's turnover grew from Rs. 19.55 crore in FY 2024-25 to a provisional Rs. 25.18 crore in FY 2025-26. The acquisition is intended to support Rose Merc's proposed fintech division and other tech support initiatives. It is not a related party transaction and remains subject to due diligence, shareholder approval, and applicable regulatory clearances.
