The Allotment Committee of Rose Merc Limited, at its meeting held on June 11, 2025, approved the allotment of 8,000 fully paid-up equity shares of face value Rs. 10 each upon conversion of warrants issued on a preferential basis. The shares were allotted to Renu Khatri, a non-promoter allottee, at Rs. 100 per share (including a premium of Rs. 90). Post-allotment, the company's paid-up equity capital stands at Rs. 5,53,72,680, comprising 55,37,268 equity shares of Rs. 10 each, up from the previous 55,29,268 shares.
This is a minor dilution event with only 8,000 shares issued on warrant conversion, which is negligible relative to the existing share base. Existing shareholders face very minimal dilution, and the conversion at a premium of Rs. 90 per share reflects a positive price discovery for the warrants. No material impact on stock price or shareholder value is expected.
