Supreme Infrastructure India Limited has issued a corrigendum correcting errors and missing information in its October 2024 EGM notice regarding a preferential issue of equity shares and convertible warrants. The company plans to allot up to 12.75 crore securities at Rs. 86.94 per share, aggregating about Rs. 1,108 crores, of which Rs. 833.84 crores is fresh cash and Rs. 274.5 crores is conversion of unsecured and secured loans into equity. Of the cash proceeds, Rs. 650 crores is earmarked for repaying lenders as part of its debt restructuring scheme under NCLT, Rs. 50 crores for working capital, Rs. 50 crores for redeeming preference shares, and Rs. 83.84 crores for general corporate purposes. The allotment is to promoter group entities, banks (SBI, Union Bank, Bank of India) via loan conversion, and over 70 non-promoter investors. As a result, promoter holding will rise from 34.68% to 52.15%, while non-promoter holding will fall from 65.32% to 47.85%, with the total share count expanding nearly 6 times from 2.57 crore to 15.32 crore shares. An addendum to the valuation report dated November 12, 2024 has also been provided.
