Tata Capital Limited is seeking shareholder approval via postal ballot for material related party transactions with Tata Steel Limited up to Rs. 15,060 crore for FY 2026-27. The transaction comprises finance facilities like factoring and leasing (Rs. 15,020 crore) and purchase of products/goods/assets (Rs. 40 crore). Tata Steel is an associate of Tata Sons Private Limited, which holds 78.8% stake in Tata Capital and 31.76% in Tata Steel, making it a related party. In FY 2025-26, transactions totaled approximately Rs. 8,490.68 crore generating revenue of Rs. 36.94 crore for Tata Capital. The proposed transactions are at arm's length and in ordinary course of business. Remote e-voting runs from May 6 to June 4, 2026.
Shareholders should approve this routine related party transaction as it involves standard NBFC business activities (factoring, leasing) generating incremental revenue. The large transaction limit reflects expected growth in Tata Steel's factoring program. No material impact on stock expected as transactions are at arm's length with disclosed economics.
