TBO Tek Limited has received its final Monitoring Agency Report from CARE Ratings for Q4 FY26 (ended March 31, 2026). The Rs. 400 crore IPO proceeds have been fully utilized as per the Offer Document. Issue expenses came in at Rs. 17.89 crore versus the planned Rs. 18.94 crore, saving Rs. 1.05 crore which was redirected to general corporate purposes (rental and administrative expenses) per a Board Resolution dated January 22, 2026. The monitoring agency confirms no deviations from the disclosed objects. However, a FEMA compliance matter remains pending - the Enforcement Directorate is conducting adjudication proceedings regarding alleged violations of Rs. 71.23 crore related to foreign exchange rules. The maximum penalty could be up to 3x the contravention amount. This is TBO Tek's final IPO monitoring report.
For shareholders: The positive confirmation that all IPO funds are properly deployed should provide comfort on capital allocation. However, the unresolved FEMA investigation poses a potential legal and financial risk that investors should monitor.
