Ujjivan Small Finance Bank's Board approved increasing the ESOP Scheme 2019 pool from 14.4 crore to 20.4 crore options (addition of 6 crore options), subject to shareholder approval. The Bank also approved a new Restricted Stock Unit Scheme 2026 with 2 crore RSUs, where exercise price is fixed at face value of Rs. 10 per share. Both schemes aim to attract and retain key talent by aligning employee interests with shareholders. No fresh grants are being made immediately; the NRC will determine future grants and pricing per regulations.
Existing shareholders face potential dilution of up to 8 crore shares (6 crore ESOPs + 2 crore RSUs) when exercised. The RSU exercise price at face value (Rs. 10) versus current market price could create significant wealth for employees. The expansion signals the Bank's focus on talent retention, which could support long-term performance but may moderately impact EPS upon exercise.
