Aadhar Housing Finance has informed the exchanges that its existing promoter BCP Topco VII Pte. Ltd. has sold its entire 75.19% stake (32,61,91,357 shares) in the company, effective February 26, 2026. The shares were acquired by BCP Asia II Holdco VII Pte. Ltd. (28,20,52,121 shares) and AXDI LDII SPV 1 LTD (4,41,39,236 shares), along with 7,36,706 shares picked up through the open offer. The new acquirer BCP Asia II Holdco VII now holds 28,27,88,827 shares, representing 65.07% of the paid-up equity share capital, and has been classified as the new promoter. The outgoing promoter and its group entities (BCP Asia (SG) Holdings Co. Pte Ltd. and Singapore VII Holding Co. Pte. Ltd.) now hold zero shares and have been reclassified from promoter to public category under SEBI Regulation 31A. Both the outgoing and incoming promoters are Blackstone-affiliated entities, indicating an internal reorganization within the Blackstone group.
This is effectively a change of control within the Blackstone group — the underlying sponsor is not changing, but the holding entity has. Shareholders should see limited operational disruption, though the formal promoter structure has shifted to a new Blackstone vehicle that holds 65.07% of the company.
