On the reaction day the stock moved 0.3 pts less than Nifty Smallcap 250 and 0.5 pts more than its Housing Finance Company peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
BCP Topco VII Pte. Ltd., the current promoter of Aadhar Housing Finance, has signed a Share Purchase Agreement (SPA) on 29 July 2025 to sell 4,41,39,236 equity shares to AXDI LDII SPV 1 LTD at Rs. 425 per share, for a total deal value of roughly Rs. 1,876 crore. The buyer is a financial investor unrelated to the promoter or the company, and upon completion will be classified as a public shareholder, not a promoter. The company itself is not a party to the agreement, and there is no change to management or control. Closing is conditional on RBI approval under the HFC master direction, Competition Commission of India clearance, National Housing Bank and Indian Bank consents, and the company's NHB registration remaining in force. Closing is also tied to another SPA dated 25 July 2025 between BCP Asia II Holdco VII and BCP Topco VII, which is expected to trigger a separate open offer.
The promoter is meaningfully trimming its stake by transferring roughly 19.5% of equity to a financial investor, signalling a gradual shift of shareholding toward public/institutional investors though control stays put. The Rs. 425 block-deal price is likely to act as a near-term valuation anchor and may influence sentiment around the concurrent open offer and any further stake changes.
